1. Introduction

Welcome to US Trade Secrets Registry Corporation. These Terms and Conditions govern your use of our website located at USTSR.org and any related services, products, or content Collectively, the US Trade Secrets Registry Corporation will be referred to as ‘Us Trade Secrets’, ‘Service’, ‘the Registry’, or ‘ USTSR’ interchangeably throughout this agreement. As the customer of this Service you will be referred to as ‘you’, ‘client’, ‘customer’, or ‘Registrant’ interchangeably throughout this agreement. Your Trade Secrets, in whatever form or content they are in, will be referred to as your ‘Trade Secrets’, ‘secrets, ‘works’, ‘ideas’ or ‘inventions’ interchangeably throughout this agreement.

The USTSR is a registry for your Trade Secrets. USTSR is only a registration service for the registration and storage of your Trade Secrets . Client acknowledges that the service is not a provider of legal advice. As the client are not receiving legal advice, and you are not establishing an attorney client relationship with the service in any way or form. As the client you must seek legal advice from your own attorney if there are legal questions related to your registration of your secrets with the service. Any evaluation you receive from the service or its agents or representatives is strictly limited to your registration of your secrets with the service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access or use the Service. You must click on ‘I agree’ confirming your agreement with all terms and conditions outlined herein.

2. Eligibility

By using our Service, you represent that you are at least 18 years of age and agree to be legally bound to these terms of service as an enforceable agreement, and that you have the legal authority to enter into this Agreement.

3. Use of Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Service does not violate any applicable state, federal, or local laws or regulations. You as the client of the service agree to never use the service to violate any applicable state, federal or local laws or regulations when using this service.

USTSR is a registry where your works are encrypted and time and date stamped in an electronic vault (‘vault’ or ‘your vault’) that you as the client will have the combination to. As the client you must establish an account with the service and remember your login code for use of the service. You agree to maintain your account as current for all charges and costs for use of the service. In the event you do not maintain current in your fees to the service your account and vault may be deleted from the service.

You as the client must remember and maintain confidentiality of your login code. Upon establishing your account and login code you will be assigned an electronic vault (vault’ or ‘your vault’) by the service with a vault number. As the client you must remember and maintain the confidentiality of your vault number. Once a vault is assigned to you, as the client you will choose the combination that opens your vault. Clients may have more than one vault, and each vault shall have a different vault number, and vault combination. It is the sole responsibility of the client to remember that vault number. As the client it is your sole responsibility to remember and maintain the confidentiality of each of your vaults. Therefore, upon establishing an account it shall be the sole and absolute responsibility of you as the client to remember and maintain the confidentiality of three sets of numbers, your client login code, your vault numbers of each of your vaults if you have multiple vaults, number, and the combination to each of your vaults if you have multiple vaults. You agree to maintain your account as current for all charges and costs for use of the service. In the event you do not maintain current in your fees to the service your account and vault(s), your vault, or if you have multiple vaults, may be deleted from the service. Those three numbers are confidential numbers and USTSR will not disclose your client identity and information or those three sets of numbers to any third party without the express written permission of you as the client.

It shall be the sole responsibility of you as the client to prepare the contents of your works to be encrypted and time and date stamped for storage in your vault. USTSR recommends that you consult with your own intellectual property attorney on the preparation of your works . USTSR is not an advisor to you on how to prepare or what to include in the contents of your works as that shall be the sole responsibility of the client to prepare those works for the service to encrypt and store in your vault. USTSR will not disclose your identity, your login number, your vault number or the combination to your vault without the express written permission of you as the client. Those three sets of numbers, your works and your client information will be held strictly confidential by the service.

4. Intellectual Property

Your works are your intellectual property and belong to you once they are registered with USTSR.org. USTSR is a private registry that is not affiliated with any governmental entity such as the United States Patent Office or the United States Copyright Office . USTSR is a registrations site for electronic storage of your works and is not an enforcement agency or company. USTSR does not enforce your intellectual property rights to your works. USTSR registers your works with encryption through our proprietary software showing you are claiming first rights, first use, prior possession, or independent development to those works as of the date and time of your registration of your works. USTSR does not resolve disputes between you and any others as to others claims of having rights to the works prior to or subsequent to the date of your registration any disputes concerning ownership of your works between you and any others must be resolved on your own through the court system or otherwise. USTSR is not the arbiter of who has the ultimate rights to the works .Other than the works registered with USTSR in your vault(s) all content, features, and functionality on this Service (including text, graphics, logos, and software) are the exclusive property of USTSR or its licensees. You may not reproduce, distribute, or create derivatives of this service or site without the express written permission of USTSR.

USTSR is a registry but registration with USTSR shows the date and time you claim ownership of your works, but under state and federal law you as the client are responsible for taking additional actions to maintain the secrecy of your works. Under state and federal law, registration with USTSR may not be the sole protection necessary to fully protect your works. You as the client must take additional steps to protect your works secrecy beyond registration of your works with USTSR these additional protections may include but not be limited to requiring employees and other affiliates access to your works, requiring employees and affiliates to execute confidentiality agreements, non-disclosure agreements, non-compete agreements works for hire agreements, waivers of inevitable disclosure agreements, continuing use agreements , first rights, first use, prior possession, or independent development to those works, marking your works as confidential trade secrets ,and having employee and affiliate policies regarding the handling of your works and providing regular training to employees and affiliates about the necessity of maintaining the secrecy of your works even after they leave employment or are no longer affiliated with your organization. USTSR recommends that you also maintain detailed access logs for employees and affiliates showing specific times and dates they had access to that information and each time an employee or an affiliate has access to the works they should sign and date a document wherein they acknowledge the confidentiality and secrecy of the works they are provided limited access to.

Any disputes between you and others about the misappropriation by improper means of your works shall be resolved between you and the employee and or affiliate in a court of competent jurisdiction, or otherwise.

You hereby waive any and all proceedings against USTSR , including right to a jury trial in any proceedings, lawsuits or disputes between you and your employees or affiliates. Any disputes between you and USTSR shall be resolved exclusively through private binding arbitration only and exclusively, through alternate dispute resolution as provided for in Florida Statute chapter 682. The arbitration shall be binding arbitration with one arbitrator presiding. Client waves all rights to court proceedings against USTSR and agrees to resolve any disputes between client and USTSR in private binding arbitration with one arbitrator presiding pursuant to Florida Statute Chapter 682. Client agrees that venue and jurisdiction for the private binding arbitration or dispute resolution shall be in Martin County Florida exclusively, and client waives rights to arbitration in any place other than Martin County Florida.

5. User Accounts

USTSR is a subscription-based service that will be billed monthly. Prior to registration and use of the registry the client is required to set up an account and have a method of payment on file. If the Service requires an account, you agree to provide accurate information and maintain the security of your account credentials. You are responsible for all activities under your account. The method of payment shall be credit card, debit card or EFT charged monthly in accordance with your level of usage of the service. USTSR may change the level of your monthly subscription payment amounts in their sole discretion in accordance with the amount of storage space your vault or vaults requires. You agree to maintain your account as current for all charges and costs for use of the service. In the event you do not maintain current in your fees to the service, your account and vault(s) may be deleted from the service.

6. Payment and Billing (if applicable)

All payments are due at the time of registration and other use of the service if applicable unless otherwise specified. Prices and fees are subject to change without notice. You agree to provide accurate billing information and authorize us to charge your payment method for any applicable services. In the event of USTSR being unable to charge your method of payment, your ability to access and use the service may be suspended or revoked and your works will not be accessible to you until your account is brought current. You agree to maintain your account as current for all charges and costs for use of the service. In the event you do not maintain current in your fees to the service your account and vault(s) may be deleted from the service. In the event your account is not current USTSR may, but shall not be required to, give you time to bring your account current within a time certain before your account and vault(s) are deleted from the service. That time and date certain for bringing your account current shall be in the sole and absolute discretion of USTSR. Additional charges may apply for any delay in account and vault(s) deletion from the service, or restoration of service that are the result of clients past due past due accounts. Client agrees that those amounts shall be determined in the sole and absolute discretion of USTSR.

7. Limitation of Liability and Dispute Resolution

This agreement shall at all times be governed by the law of the State of Florida . USTSR shall not be liable for any general damages, incidental or consequential damages, special damages , indirect, liquidated, or punitive damages, attorneys fees or costs arising out of or relating to your use of the Service. Any disputes between you and USTSR shall be resolved exclusively through private binding arbitration only and exclusively, through alternate dispute resolution as provided for in Florida Statute chapter 682. The arbitration shall be binding arbitration with one arbitrator presiding. Client waives all rights to any and all court proceedings and waives all court proceedings against USTSR and agrees to resolve any disputes between client and USTSR in exclusively in private binding arbitration with one arbitrator presiding pursuant to Florida Statute Chapter 682. Client waives all rights to jury trial and to court proceedings against USTSR in any court, state or federal, and agrees to resolve all disputes with USTSR exclusively by private binding arbitration under Florida Statutes Chapter 682. Client agrees that venue and jurisdiction for the private binding arbitration shall be in Martin County Florida exclusively. Client waives rights to arbitration in any place other than Martin County Florida.

8. Disclaimer

The Service is provided on an ‘as is’ and ‘as available’ basis. We make no warranties, expressed or implied, regarding the Service’s accuracy, reliability, or availability.

9. Termination

We may suspend or terminate your access to the Service at our sole discretion, without prior notice, for any conduct or actions that USTSR believes in their sole and absolute discretion violates these Terms, is deemed illegal, or is harmful to other users or the service.

10. Governing Law

These Terms shall be governed at all times and construed exclusively in accordance with the laws of the State of Florida, without regard to conflict of law provisions.

11. Changes to Terms:

USTSR reserves the right to modify these Terms at any time in the sole and absolute discretion of the service. Changes will be effective immediately upon posting to the website. Your continued use of the Service constitutes your acceptance of any new, modified or changed, or revised Terms.
